MTN Ghana Holds 8th AGM On March 24

Scancom PLC has announced that its 8th Annual General Meeting (AGM) will be held on Tuesday, March 24, 2026, at 11:00 GMT, providing shareholders the opportunity to review the company’s 2025 performance and take key decisions on dividends, board composition, and corporate governance.

The meeting will take place physically at the University of Professional Studies Accra (UPSA) Auditorium, while also offering a virtual participation option via the company’s dedicated AGM platform. This hybrid format reflects MTN Ghana’s continued push toward digital inclusion and shareholder accessibility.

At the AGM, shareholders are expected to deliberate on several key matters, including the consideration and approval of the Audited Financial Statements for the year ended December 31, 2025, alongside reports from the Board of Directors and external auditors.

A major highlight of the meeting will be the declaration of a final dividend, a critical issue for investors following the company’s financial performance in the past year.

The meeting will also address board governance matters, including the re-election of several directors retiring by rotation. These include Dr. Ishmael Yamson, Antoinette Kwofie, Kofi Dadzie, and Felix Addo.

Shareholders will further vote on the approval of directors’ fees for the 2026 financial year and authorize the Board to determine the remuneration of the company’s auditors.

Under special business, shareholders will consider and approve a revised Non-Executive Directors’ Fee Policy, reflecting ongoing efforts to strengthen corporate governance structures within the company.

In line with regulatory requirements and shareholder convenience, MTN Ghana has provided multiple participation channels.

Shareholders who are unable to attend in person may appoint proxies to represent them and vote on their behalf. Proxy forms are available online and must be submitted at least 48 hours before the meeting.
